These Terms of Service ("Terms") govern your access to and use of the services, communications, quotations, websites, and related offerings provided by Northline Furnishings Ltd. ("Northline Furnishings Ltd.", "we", "us", or "our"). By requesting, booking, purchasing, or using any of our services, you agree to be bound by these Terms.
If you do not agree with these Terms, you must not use our services.
1. Introduction and Acceptance of Terms
These Terms form a legally binding agreement between you and Northline Furnishings Ltd. in connection with our furniture-related services in Canada. Your acceptance may occur by:
- submitting a request for services;
- accepting a quotation, proposal, or estimate;
- signing a work order, service agreement, or invoice;
- paying a deposit or other amount toward services; or
- allowing us to commence work at your request.
You represent that you have the legal authority to enter into these Terms on your own behalf or on behalf of the person or entity you represent.
2. Scope of Services
Northline Furnishings Ltd. provides furniture and related services, which may include, without limitation:
- custom furniture design;
- residential furniture delivery;
- office and commercial furnishing;
- furniture assembly and installation;
- space planning consultation;
- upholstery and refinishing; and
- furniture repair and restoration.
Service descriptions, timelines, deliverables, pricing, and specifications may be set out in a quote, estimate, invoice, statement of work, or other written agreement. In the event of a conflict between those documents and these Terms, the specific written agreement will govern to the extent of the conflict.
We may refuse, suspend, or discontinue any service where performance would be unsafe, unlawful, impractical, or inconsistent with our policies or professional standards.
3. User Obligations and Responsibilities
You agree to:
- provide accurate, current, and complete information;
- ensure that access to the premises, worksite, or delivery location is safe and available at the scheduled time;
- obtain all necessary permissions, approvals, building access, parking arrangements, elevator reservations, or landlord/strata consent required for service delivery;
- disclose relevant conditions that may affect service performance, including limited access, stairs, narrow entrances, fragile surfaces, existing damage, electrical requirements, or hazardous materials;
- remove or secure valuables, breakables, and sensitive items before delivery, assembly, or installation;
- inspect products and services promptly upon completion or delivery and report issues within a reasonable time;
- use products and services in accordance with manufacturer instructions, care guidelines, and any provided recommendations; and
- comply with all applicable laws, bylaws, rules, and safety requirements.
You are responsible for any delay, additional cost, damage, or failed completion arising from inaccurate information, unsafe conditions, lack of access, or your failure to cooperate.
Where you provide materials, designs, measurements, or instructions, you warrant that they are accurate and that you have the right to use them.
4. Payment Terms and Conditions
All fees, deposits, taxes, and payment schedules will be as stated in the relevant quotation, invoice, or written agreement. Unless otherwise agreed in writing:
- prices are in Canadian dollars (CAD);
- applicable taxes, including GST/HST and any other required taxes, will be added where applicable;
- deposits may be required before work begins or materials are ordered;
- custom orders, special-order items, and materials may require non-refundable deposits or full prepayment;
- payment is due upon receipt of invoice unless otherwise stated;
- late payments may result in interest charges, collection costs, work suspension, or lien/enforcement rights to the extent permitted by law; and
- you are responsible for any bank charges, chargeback fees, or payment-processing reversals caused by your payment method.
We may adjust pricing if there are changes to scope, materials, labour requirements, access conditions, delivery circumstances, or requested revisions. Any material change in pricing will be communicated to you before additional work proceeds where reasonably practicable.
Title to any goods may remain with us until payment is received in full, to the extent permitted by law.
5. Cancellation and Refund Policy
Cancellations must be requested in writing by email or other approved method. Refund eligibility depends on the type of service, work completed, and costs already incurred.
- Custom and special-order items: Deposits and payments may be non-refundable once design work has begun, materials have been ordered, or fabrication has started.
- Service appointments: If you cancel or reschedule with insufficient notice, we may charge a cancellation fee or retain any deposit to cover reserved labour, scheduling, and administrative costs.
- Completed services: Services that have been performed are generally non-refundable except where required by applicable law or where we agree otherwise in writing.
- Defects or errors: If a service issue arises due to our verified error, we may, at our option, repair, re-perform, replace, or refund the affected portion of the service, subject to inspection and reasonable proof of the issue.
Refunds, if approved, will be issued using the original payment method where reasonably possible and within a reasonable processing period.
Nothing in this section limits any non-excludable rights you may have under applicable consumer protection laws in Canada.
6. Liability Limitations
To the fullest extent permitted by law:
- our services are provided on an "as is" and "as available" basis, except as expressly stated in writing;
- we do not guarantee that any service will be uninterrupted, error-free, or suitable for every purpose;
- we are not liable for delays or failures caused by third parties, suppliers, carriers, contractors, or events beyond our reasonable control;
- we are not responsible for pre-existing defects, structural issues, hidden damage, or conditions not reasonably discoverable during service performance;
- we are not liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, business interruption, or loss of data; and
- our total liability for any claim arising out of or relating to the services will not exceed the amount paid by you for the specific service giving rise to the claim, unless a higher limit is required by law.
Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law, including liability for fraud, wilful misconduct, or gross negligence where such limitation is prohibited.
You acknowledge that furniture delivery, assembly, installation, restoration, and related work may involve inherent risks, including minor property scuffs, access limitations, and handling constraints. You agree to take reasonable steps to mitigate such risks.
7. Intellectual Property Rights
Unless otherwise agreed in writing, all intellectual property rights in our designs, drawings, concepts, methods, templates, documentation, photographs, logos, text, and other materials created or used by Northline Furnishings Ltd. remain our property or the property of our licensors.
Subject to full payment of all amounts owed, you are granted a limited, non-exclusive, non-transferable licence to use deliverables created specifically for you for the purpose for which they were provided.
You may not, without our prior written consent:
- copy, reproduce, publish, distribute, or modify our intellectual property;
- reverse engineer or commercially exploit our designs or proprietary materials;
- use our name, logo, or branding in a misleading manner; or
- claim ownership of concepts or materials that were independently developed by us.
If you provide us with logos, drawings, images, specifications, or other content, you grant us a non-exclusive licence to use that content solely for performing the services.
8. Data Protection and Privacy
Northline Furnishings Ltd. collects, uses, discloses, and stores personal information in accordance with applicable Canadian privacy laws, including applicable provincial privacy requirements and, where applicable, the Personal Information Protection and Electronic Documents Act (PIPEDA).
We may collect personal information such as your name, contact details, delivery address, billing information, service preferences, and communication records for the purposes of:
- providing quotations, services, delivery, installation, and support;
- processing payments and managing accounts;
- responding to inquiries and maintaining customer records;
- meeting legal, tax, accounting, and regulatory obligations; and
- improving our services and internal operations.
We may share personal information with service providers, subcontractors, payment processors, delivery partners, or advisors where reasonably necessary to provide our services or comply with the law. We take reasonable administrative, technical, and physical safeguards to protect personal information, but no method of transmission or storage is completely secure.
By using our services, you consent to the collection, use, and disclosure of your personal information as described in these Terms and in any applicable privacy notice we may provide. If you submit personal information about another individual, you represent that you have the authority to do so and that the individual has been informed as required by law.
9. Force Majeure
We will not be liable for any delay, failure, or inability to perform our obligations due to events beyond our reasonable control, including but not limited to:
- acts of God, floods, fires, storms, earthquakes, or other natural disasters;
- war, terrorism, civil unrest, labour disputes, or government action;
- supplier shortages, transportation disruptions, or carrier delays;
- power outages, internet failures, or equipment breakdowns;
- public health emergencies or epidemic/pandemic-related restrictions; and
- any similar unforeseeable events beyond our reasonable control.
Where a force majeure event occurs, performance will be suspended for the duration of the event, and we will make reasonable efforts to resume service as soon as practicable.
10. Changes to Terms
We may update or revise these Terms from time to time to reflect changes in our services, business practices, or applicable law. The updated Terms will be effective when posted or otherwise communicated to you, unless a later effective date is stated.
Your continued use of our services after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using our services.
11. Applicable Law and Jurisdiction
These Terms and any dispute, claim, or controversy arising out of or relating to them, our services, or any related transaction will be governed by and interpreted in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.
You agree that the courts located in British Columbia, Canada, will have exclusive jurisdiction over any dispute arising from or connected with these Terms, subject to any mandatory consumer protection rights or jurisdictional rules that cannot lawfully be waived.

13. Severability Clause
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court or competent authority, that provision will be severed to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
If any invalid or unenforceable provision can be interpreted in a way that makes it valid and enforceable, it will be interpreted accordingly to reflect the original intent as closely as possible under applicable law.
